Position Accountabilities and Deliverables
Reporting to the Senior Legal Counsel, you will provide support to the legal team and business by drafting and negotiating key contracts, preparing regulatory documentation and ensuring compliance with relevant laws. You will also deal with many and varied corporate projects and the requirements of being a listed entity.
This role requires a high level of initiative, attention to detail and accuracy in managing workload, good communication skills and the ability to adapt to a changing and growing environment.
Core Accountabilities
- Contract review, drafting and negotiation across a wide range of areas and regions (both AU and International), including procurement, operations, contract manufacturing, supply, CAPEX projects, property leasing, direct supply, distribution and agency agreements.
- Providing timely and commercial day to day generalist legal advice on a variety of legal risk areas and business projects.
- Proactively identifying legal risks to the business (based on business practices or changes to laws) and assist in developing controls, strategies, and solutions to mitigate risk.
- Supporting marketing approvals process including product packaging/label approvals, supporting marketing team with digital marketing compliance including influencer briefs, agreements, licensing arrangements and/or brand partnerships and third-party collaborations.
- Support marketing in respect of trade promotions and associated permits and terms and conditions.
- Assisting with general compliance initiatives including internal legal training, development of compliance tools and policy reviews and updates.
- Assist with various corporate and commercial projects.
- Working with operations to manage all dairy milk supply agreement renewals and variations and ensuring compliance with the Dairy Code.
- Assisting with regulatory investigations, disputes and employment matters.
- Manage the company’s intellectual property portfolio and working with our external counsel to advise the business on trademarks, patents and other IP related matters.
- Managing the company’s contracts management system and ensuring all contracts are approved in accordance with the company’s Delegated Authority Policy and are entered correctly into the system including all reminders and contract metadata.
- Maintaining the company’s ASIC registers and lodging ASIC forms as required from time to time.
- Developing, reviewing and updating standard contract templates.
Position Requirements – Qualifications, Knowledge and Competencies
- At least two (2) years' post-qualification experience in private practice and/or in-house
- Experience in reviewing and negotiating various commercial contracts
- Experience in the FMCG or manufacturing industry is preferred but not essential
- Some exposure to ASX listing rules and compliance may be useful but not required.
- Ability to understand the key commercial drivers of a business
- Capacity to learn and operate remotely
- Work in a high-pressure environment
- High computer skills e.g. Microsoft word and excel
- Proven ability to meet multiple deadlines
- Exceptional communication skills (written and verbal)
- Ability to adopt a highly agile approach to their work practice
- Excellent time management skills and an ability to work autonomously and prioritise appropriately
- Ability to supervise junior legal staff and provide suitable coaching/mentoring
