Commercial Lawyer (Junior) - Corporate, Contracts, and Founders

The opportunity
As a young, ambitious junior commercial lawyer, you will work with our CEO and core senior management team across a portfolio of high-growth ventures. The work spans AI projects, SaaS, an ESVCLP and its associated investments, plus an expanding real estate portfolio. You will advise on day-to-day legal matters and strategic decisions. Give clear, commercial advice that reduces risk and supports rapid GTM action.
What you will do
  • Support the CEO and senior management team across legal matters, with fast turnarounds.
  • Draft, review, and negotiate commercial contracts and founder agreements.
  • Prepare, update, and advise on shareholder agreements and corporate governance documents.
  • Support corporate advisory work across structuring, governance, and compliance.
  • Assist with M&A, private equity, and investment transactions as required.
  • Analyse and summarise investment proposals, term sheets, and board papers.
  • Advise on legal issues across fintech, financial services, IP, and emerging tech.
  • Support real estate and property matters, as needed.
  • Help manage legal risk and ensure compliance with local and international requirements.
  • Assist in negotiations and dispute resolution support.
  • Liaise with external counsel in court matters as required.
  • Build and maintain contract templates, playbooks, and workflows.
What you bring
  • Admitted lawyer in Australia with a current practising certificate.
  • Bachelor of Laws (LLB) or equivalent.
  • 2+ years experience in commercial law and corporate advisory.
  • Strong experience with commercial contracts and shareholder agreements.
  • Solid understanding of corporate governance and risk management.
  • Clear drafting, strong judgement, and practical issue-spotting.
  • Agile, proactive, and comfortable with shifting priorities.
  • Strong stakeholder skills, confident with founders and senior operators.
  • Sydney-based and able to work hybrid.
Nice to have
  • Exposure to financial services, funds, VC, or portfolio environments.
  • Experience in fintech, technology, and intellectual property matters.
  • Interest in AI, SaaS, and emerging tech regulation.
  • Experience improving templates and legal ops.
